Corporate Law
Corporate law is the area that deals with the creation, organization and changes of a business entity and with the relationships between its partners. At the firm, this area is led by Anderson Rodrigues Elias, serving companies and partners in Tatuí and São Paulo.
The corporate structure defines who decides, how results are shared and what happens when the relationship between the partners changes.
The firm organizes this structure from the incorporation of the company and follows the changes over time: new partners, exits, reorganizations and governance rules.
What it covers
- Incorporation and amendment of companies
- Articles of association and shareholder agreements
- Entry, exit and expulsion of partners
- Calculation of the exiting partner's equity (apuração de haveres)
- Governance and decision rules
- Corporate reorganizations
The list shows the most common matters in the area and is not exhaustive. Each situation depends on individual analysis.
Frequently asked questions
What is the difference between the articles of association and a shareholder agreement?
The articles of association are the document that incorporates the company, registered with the Board of Trade (or, for a simple company, with the Civil Registry of Legal Entities), with the company's basic rules. A shareholder agreement is a contract among the partners that details matters such as decisions, entry and exit of partners and the transfer of quotas or shares.
What is the calculation of the exiting partner's equity (apuração de haveres)?
It is the calculation of the amount due to the partner who leaves the company, or to the heirs of a deceased partner, under the articles of association and the law.
